Business Law: Our clients include individual physicians and group practices seeking services related to choice of entity, corporate governance, restructuring, compensation plans, employment contracts, business succession, partnerships, mergers, licensing, and vendor agreements.

Stark and Anti-Kickback Regulatory Compliance: Our planning has allowed physicians to share in supplemental revenue streams while observing federal and state regulatory guidelines. Attorneys from our office regularly advise clients on issues related to Stark and anti-kickback compliance issues, as well as other regulatory limitations placed on professional practices. We work with providers to design and implement compliance programs designed to identify a client's resources and goals and detect, then correct potential non-compliance issues to avoid accusations of fraud leading to costly litigation.

Lease and Financing. As a medical practice grows, the practice will relocate to or find new locations, necessitating the review of a lease. We routinely review office leases for medical practices, and when needed, will negotiate with the prospective landlord or leasing agent. When growing, the medical practice may need to lease or finance expensive equipment or other expansions. We review and help advise on bank and leasing company documents that lenders and lessors submit in connection with the offered loans and leases.

Professional Compensation Issues
Employment Contract Review: We review hundreds of employment contracts for physicians joining medical practices in Texas. Our client will typically fax or email a copy of the contract to us for review. We will quote a fixed fee, usually $950, to review the contract and prepare a detailed comment letter highlighting non-standard terms and explaining common, but important terms. The review is usually faxed or emailed to the physician in a few days. The physician is encouraged to call with questions. We welcome the opportunity to become associated with physicians joining new groups in Texas and we try to maintain the relationship throughout the physician's career.
Relocation and Recruitment Agreements: As is the case with reviewing employment contracts, we review many hospital relocation and recruitment agreements. Our client will fax or email the agreement to us and we'll prepare a detailed comment letter thereon. The letter can be generated in a few days, and the physician is welcome to call to discuss specific points.
